Institutional terms for using TUEL AI

These terms describe how TUEL is provided to educational institutions, the responsibilities that come with institutional accounts, and how data ownership and service operation are handled.

This page outlines baseline public terms. Final commercial, privacy, and security obligations are defined in executed institutional agreements, order forms, and related review documents.

1. Acceptance of Terms

By accessing or using TUEL's services, you agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of an educational institution, you represent that you have the authority to bind that institution to these terms.

2. Service Description

TUEL provides a unified educational AI layer that enables institutions to deploy AI tutoring systems with full oversight and compliance capabilities. Our services may include AI-powered tutoring, analytics dashboards, content management tools, rollout support, and integration planning or implementation as defined in the applicable institutional agreement.

3. Institutional Accounts

TUEL services are provided to educational institutions through institutional agreements. Institutions are responsible for:

  • Designating authorized administrators and faculty users
  • Managing user access and permissions
  • Ensuring appropriate use by their students and staff
  • Maintaining accurate account information

4. User Responsibilities

Users of TUEL services agree to:

  • Use the service only for legitimate educational purposes
  • Not attempt to circumvent security measures or access restrictions
  • Not upload malicious content or attempt to disrupt service
  • Comply with all applicable laws and institutional policies
  • Protect account credentials and report unauthorized access

5. Acceptable Use Policy

The following uses of TUEL services are prohibited:

  • Generating content that violates academic integrity policies
  • Attempting to bypass content restrictions or safety measures
  • Using the service for non-educational commercial purposes
  • Sharing access credentials with unauthorized parties
  • Scraping, harvesting, or extracting data from the service

6. Intellectual Property

TUEL retains all rights to the platform, software, and underlying technology. Course materials and content uploaded by institutions remain the intellectual property of the respective owners. Institutions grant TUEL a limited license to use uploaded content solely for providing the contracted services.

7. Data Ownership

Institutions retain full ownership of all their data, including course materials, student interaction logs, and generated analytics. TUEL acts solely as a data processor and does not claim ownership of institutional data.

Upon termination of service, institutions may request export of their data in standard formats. See our Privacy Policy for data retention details.

8. Service Availability

TUEL strives to maintain high service availability but does not guarantee uninterrupted access. Scheduled maintenance and any service-level commitments are communicated in the applicable institutional agreement. We are not liable for temporary unavailability due to factors beyond our reasonable control.

9. Limitation of Liability

To the maximum extent permitted by law, TUEL shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of our services. Any liability caps, exclusions, or negotiated exceptions are governed by the executed institutional agreement.

10. Indemnification

Institutions agree to indemnify and hold TUEL harmless from claims arising from their use of the service, including claims related to uploaded content, user conduct, or violation of these terms.

11. Termination

Either party may terminate service according to the terms of the institutional agreement. TUEL reserves the right to suspend or terminate access for violation of these terms. Upon termination, access will be revoked and data handled according to the institutional agreement and our Privacy Policy.

12. Governing Law

Governing law, venue, and dispute-resolution mechanics are set in the executed institutional agreement or related commercial documents for the deployment.

13. Changes to Terms

TUEL may update these public baseline terms from time to time. Material changes affecting existing institutional customers are addressed through the applicable agreement process and customer communications.
