By accessing or using TUEL's services, you agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of an educational institution, you represent that you have the authority to bind that institution to these terms.
TUEL provides a unified educational AI layer that enables institutions to deploy AI tutoring systems with full oversight and compliance capabilities. Our services may include AI-powered tutoring, analytics dashboards, content management tools, rollout support, and integration planning or implementation as defined in the applicable institutional agreement.

The following uses of TUEL services are prohibited:
TUEL retains all rights to the platform, software, and underlying technology. Course materials and content uploaded by institutions remain the intellectual property of the respective owners. Institutions grant TUEL a limited license to use uploaded content solely for providing the contracted services.
Institutions retain full ownership of all their data, including course materials, student interaction logs, and generated analytics. TUEL acts solely as a data processor and does not claim ownership of institutional data.
Upon termination of service, institutions may request export of their data in standard formats. See our Privacy Policy for data retention details.
TUEL strives to maintain high service availability but does not guarantee uninterrupted access. Scheduled maintenance and any service-level commitments are communicated in the applicable institutional agreement. We are not liable for temporary unavailability due to factors beyond our reasonable control.
To the maximum extent permitted by law, TUEL shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of our services. Any liability caps, exclusions, or negotiated exceptions are governed by the executed institutional agreement.
Institutions agree to indemnify and hold TUEL harmless from claims arising from their use of the service, including claims related to uploaded content, user conduct, or violation of these terms.
Either party may terminate service according to the terms of the institutional agreement. TUEL reserves the right to suspend or terminate access for violation of these terms. Upon termination, access will be revoked and data handled according to the institutional agreement and our Privacy Policy.
Governing law, venue, and dispute-resolution mechanics are set in the executed institutional agreement or related commercial documents for the deployment.
TUEL may update these public baseline terms from time to time. Material changes affecting existing institutional customers are addressed through the applicable agreement process and customer communications.
