6. Intellectual Property

TUEL retains all rights to the platform, software, and underlying technology. Course materials and content uploaded by institutions remain the intellectual property of the respective owners. Institutions grant TUEL a limited license to use uploaded content solely for providing the contracted services.

7. Data Ownership

Institutions retain full ownership of all their data, including course materials, student interaction logs, and generated analytics. TUEL acts solely as a data processor and does not claim ownership of institutional data.

Upon termination of service, institutions may request export of their data in standard formats. See our Privacy Policy for data retention details.

8. Service Availability

TUEL strives to maintain high service availability but does not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance. We are not liable for temporary unavailability due to factors beyond our reasonable control.

9. Limitation of Liability

To the maximum extent permitted by law, TUEL shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of our services. Our total liability shall not exceed the fees paid by the institution in the twelve months preceding any claim.

Institutions agree to indemnify and hold TUEL harmless from claims arising from their use of the service, including claims related to uploaded content, user conduct, or violation of these terms.

11. Termination

Either party may terminate service according to the terms of the institutional agreement. TUEL reserves the right to suspend or terminate access for violation of these terms. Upon termination, access will be revoked and data handled according to the institutional agreement and our Privacy Policy.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.

13. Changes to Terms
